Terms of Service

1. Company Information

UiChemy is operated by:

POSIMYTH INC is the sole legal contracting entity for UiChemy.

2. Eligibility

You must be at least 18 years old to use the Service.

By using the Service, you represent that:

• You are at least 18 years old
• You have authority to enter into this agreement
• You will comply with all applicable laws

3. Account Registration

You must provide accurate information.

You are responsible for:

• Maintaining confidentiality of credentials
• All activities under your account
• Keeping contact details updated

We may suspend or terminate accounts that:

• Are unverified
• Violate these Terms
• Remain inactive for 12 months from signup (for unverified accounts)
• Are suspected of abuse or fraud

4. Subscription Plans & Billing

UiChemy may offer:

• Free plans
• Free trials
• Monthly subscriptions
• Annual subscriptions
• Lifetime plans (as defined below)

All payments are processed through Paddle.com as Merchant of Record.

By purchasing, you agree:

• Your subscription renews automatically unless cancelled
• Applicable taxes (VAT/GST/sales tax) are your responsibility
• Paddle’s payment terms also apply

Failed Payments

• 3-day retry window
• 14-day suspension if unresolved
• 30-day deletion notice before permanent deletion

5. Refund Policy

Refunds are available within 14 days of purchase in accordance with Paddle’s Merchant of Record policy.

After 14 days, payments are non-refundable unless required by law.

6. Lifetime Plans

“Lifetime” means the period during which UiChemy continues to operate and make the relevant product tier commercially available.

Lifetime plans:

• Do not include unlimited AI credits
• May be subject to usage limitations
• May exclude future premium features
• May require separate purchase of AI credits

If UiChemy is discontinued or the company ceases operations, lifetime access ends on the date of product discontinuation notice.

We will provide reasonable notice prior to discontinuation.

7. License & Intellectual Property

We grant you a limited, non-exclusive, non-transferable license to use the Service.

All rights in UiChemy, including software, branding, and systems, remain the exclusive property of POSIMYTH INC.

User data belongs to you.

You grant us a limited license to host, store, and process your content solely to provide the Service.

8. AI Services & Generated Content

UiChemy integrates third-party AI providers including OpenAI, Google, and Anthropic.

AI-generated outputs:

• May contain errors
• May not be unique
• May resemble third-party content
• May require human review

We do not guarantee:

• Accuracy
• Originality
• Legal compliance
• Copyright clearance

You are solely responsible for reviewing and verifying AI outputs before use.

We do not use your data for AI training unless required to improve service functionality and in anonymized form.

9. Acceptable Use

You agree not to:

• Violate any laws
• Upload infringing content
• Share accounts beyond plan limits
• Reverse engineer the platform
• Attempt security breaches
• Generate illegal or harmful content
• Use the Service for spam, malware, or fraud

We may suspend or terminate accounts for violations.

10. Beta & Experimental Features

We may release beta or experimental features.

Such features:

• Are provided “AS IS”
• May change or be removed
• Have no service commitments
• May contain errors

Use at your own risk.

11. Security

We implement commercially reasonable administrative, technical, and organizational safeguards to protect data.

However, no system is completely secure.

We do not guarantee uninterrupted or error-free service.

12. Warranties Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, we disclaim all implied warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted availability

13. Limitation of Liability

To the maximum extent permitted by law:

Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

We are not liable for:

• Indirect damages
• Lost profits
• Loss of data
• Business interruption
• Consequential damages

This limitation does not apply to fraud or willful misconduct.

14. Indemnification

You agree to indemnify and hold harmless POSIMYTH INC from any claims arising from:

• Your content
• Your misuse of the Service
• Violation of law
• Infringement of third-party rights

15. Data Processing & International Transfers

Data may be processed in:

• United States
• European Union
• India

By using the Service, you consent to international data transfers.

A Data Processing Addendum (DPA) is available.

16. Termination

You may cancel anytime.

Paid access continues until end of billing cycle.

After cancellation:

• 30-day data export window
• Data may be deleted after that period
• Backups may persist temporarily

We may terminate for:

• Abuse
• Non-payment
• Chargebacks
• Fraud
• Violation of Terms

17. Arbitration & Dispute Resolution

Governing Law: Delaware, USA.

All disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA).

Arbitration shall be conducted remotely.

You waive:

• Jury trial
• Class actions

30-Day Opt-Out

You may opt out of arbitration within 30 days of account creation by emailing [email protected].

18. Intellectual Property Complaints

If you believe content infringes your rights, contact [email protected] with:

• Description of the work
• Identification of infringing material
• Contact information

We may remove content at our discretion.

19. Marketing Rights

You grant us permission to display your company name, logo, and publicly accessible sites built with UiChemy for marketing purposes unless you request removal.

20. Changes to Terms

We may update these Terms.

We will update the version date.

Material changes may be communicated via email or in-app notice.

Continued use constitutes acceptance.

21. Severability

If any provision is unenforceable, the remaining provisions remain in effect.

22. Incorporated Policies

The following policies are incorporated into and form part of these Terms of Service:

• Security Policy
• Data Processing Addendum (DPA)

By using the Service, you agree to comply with all applicable policies referenced above.

These policies may be updated from time to time in accordance with the Terms of Service. Continued use of the Service after updates constitutes acceptance of the revised policies.
